Please read these Terms of Use carefully before using our website or services. These terms form a binding legal agreement between you and Bilah Digital Inc.
1. Acceptance of Terms
By accessing bilah.ai, using app.bilah.ai, or engaging Bilah Digital Inc. for any service, you agree to be bound by these Terms of Use. If you do not agree, do not use our website or services. These terms apply to all visitors, clients, and users of our platforms.
2. Services
Bilah Digital Inc. offers the following services: (a) custom website design and development; (b) ARIA, an AI-powered advertising automation platform for Google and Meta; (c) Moiz AI, an AI chatbot and voice agent platform; and (d) bundled packages combining the above. Service scope, deliverables, and timelines for project-based work are defined in separate written agreements. Subscription services are governed by these terms and the plan you select at signup.
3. Accounts & Eligibility
To use app.bilah.ai you must be at least 18 years old and represent a lawfully operating business. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access. Bilah reserves the right to suspend or terminate accounts that violate these terms.
4. Subscriptions & Billing
Subscription fees (ARIA, Moiz AI, Full Stack Bundle) are billed monthly in USD and charged automatically at the start of each billing period. All prices are listed in USD unless stated otherwise. Bilah reserves the right to change pricing with 30 days' notice. You authorize us to charge your payment method on file for all applicable fees. Failed payments may result in service suspension.
5. Cancellation & Refunds
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period and you retain access until then. Monthly subscription fees are non-refundable except where required by law. One-time project deposits and setup fees are non-refundable once work has commenced. If you believe you were charged in error, contact us within 14 days at [email protected].
6. Intellectual Property
Upon receipt of full payment for project-based work, you own the final deliverables (website files, content, design assets) created specifically for you. Bilah retains ownership of its proprietary tools, frameworks, code libraries, AI models, and the ARIA and Moiz AI platforms. You are granted a limited, non-transferable licence to use the Moiz AI and ARIA platforms solely for your own business operations during the term of your subscription. You may not resell, sublicence, reverse engineer, or white-label our platforms without prior written consent.
7. Acceptable Use
You agree not to use our services for any unlawful purpose or in any way that could harm Bilah, its clients, or third parties. Prohibited uses include: running ad campaigns that violate Google or Meta policies; using Moiz AI to spread misinformation or engage in deceptive practices; attempting to gain unauthorized access to our systems; scraping or harvesting data from our platforms. Bilah may immediately suspend your account for violations without notice or refund.
8. AI-Generated Content
ARIA and Moiz AI use large language models to generate ad copy, chatbot responses, and automated communications. You acknowledge that AI-generated content may occasionally be inaccurate, incomplete, or unsuitable. You are solely responsible for reviewing and approving AI-generated content before publication. Bilah does not warrant the accuracy, fitness, or legal compliance of AI-generated outputs for your specific use case.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Bilah Digital Inc., its directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or revenue, arising out of or related to your use of our services. Our total cumulative liability to you for any claim shall not exceed the total fees you paid to Bilah in the 30 days immediately preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless Bilah Digital Inc. and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of our services, your breach of these terms, your violation of any third-party rights, or the content or campaigns you run through our platforms.
11. Changes to Terms
Bilah may update these terms from time to time. We will provide at least 14 days' notice of material changes by email or by posting a notice on our website. Your continued use of our services after the effective date constitutes acceptance of the updated terms. If you disagree with the changes, you must cancel your subscription before the effective date.
12. Governing Law
These terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising under these terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
